You represent that you are of legal age to form a binding contract in your jurisdiction and are not a person barred from receiving services under the laws of the United States, Hong Kong, your place of residence, or any other applicable jurisdiction.

Finrsch Ltd offers a suite of tools and services designed to assist users in understanding publicly listed companies. Our services include:

AI-Generated Company Research Reports: Providing company research reports primarily generated by artificial intelligence, based on publicly available disclosures, filings, news, and other public data sources.
AI-Powered Corporate Access Tools (for Investors): Tools utilizing AI to help investors discover and engage with corporate access opportunities.
IR Tools (for Listed Companies): Tools designed to assist listed companies with investor relations activities.

3. Account Registration and Security

To access certain features of the Platform, you must register for an account.

You agree to provide true, accurate, current, and complete information during the registration process and to maintain and promptly update your account information to keep it true, accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account password and are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your password or account or any other breach of security.
We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves inaccurate, false, or incomplete.

4. Free and Paid Services

The Platform offers both free and paid services.

5. Payment Terms (for Paid Services)

Subscription: Paid services are typically offered on a subscription basis (e.g., monthly, annually). Your subscription will automatically renew at the end of each billing cycle unless you cancel it in accordance with the Platform's cancellation policy.
Billing: You authorize us (or our third-party payment processor) to charge your designated payment method for all applicable fees and taxes on a recurring basis until your subscription is cancelled.
Price Changes: We reserve the right to change our prices. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle following the notice.
No Refunds: Unless expressly stated otherwise, all fees paid for paid services are non-refundable.

6. User Conduct and Responsibilities

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

Attempt to probe, scan, or test the vulnerability of any system or network or breach any security or authentication measures.
Access or search the Platform by any means other than our publicly supported interfaces (e.g., "scraping," "spidering," or using any robot, spider, crawler, or other automatic device or process to retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Platform).
Misrepresent your identity or credentials.
Upload or transmit any malicious code, viruses, or other harmful data.
Use the Platform to transmit unsolicited commercial communications ("spam").

7. Intellectual Property Rights

Our Content: All content, features, and functionality on the Platform, including but not limited to AI-generated reports, text, graphics, logos, icons, images, software, and their selection and arrangement, are the intellectual property of Finrsch Ltd or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Your Use: You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its content for your personal or internal business informational purposes, subject to these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as generally permitted by the Platform's functionality (e.g., downloading a report for personal or internal business use).
User Uploaded Content (if applicable): If the IR Tools or other features allow you to upload content, you retain ownership of any intellectual property rights you hold in that content. You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display such content solely for the purpose of operating, developing, and providing the services to you and other users.

IF, NOTWITHSTANDING THE FOREGOING, FINRSCH LTD IS FOUND LIABLE FOR ANY DAMAGES, OUR TOTAL AGGREGATE LIABILITY IN CONNECTION WITH YOUR USE OF THE PLATFORM OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $100.00.

9. Indemnification

You agree to defend, indemnify, and hold harmless Finrsch Ltd, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your use of the Platform's content other than as expressly authorized in these Terms or your use of any information obtained from the Platform.

10. Links to Third-Party Websites

The Platform may contain links to third-party websites or services that are not owned or controlled by Finrsch Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Finrsch Ltd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

11. Termination

By You: You may terminate your account at any time by following the instructions on the Platform or contacting our support team. Termination of a paid subscription will take effect at the end of your current billing cycle.
By Us: We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. We may also terminate or suspend accounts that are inactive for an extended period.
Effect of Termination: Upon termination, your right to use the Platform will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions.
Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration or courts in Hong Kong.

You agree that any claim you may have arising out of or related to these Terms or your relationship with us must be filed within one (1) year after such claim arose; otherwise, your claim is permanently barred.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least [e.g., 30] days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Finrsch Ltd regarding the use of the Platform.
Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
